  Article 10 Inspection of Analysis & Weight

  The shipmentinspection and analysis shall be done byCCICappointed by the Seller and one independent surveyor (i.e.: SGS or Geo-Chem, etc) appointed by the buyeras agreed by both parties at site before loading to container. While final weightand qualitydetermination shall be done atloadingportby the above joint-survey.Moisture content shall be deducted from the total weight shipped.

  Article 11 Documents

  Seller shall present the following documents to the buyer:

  A. Signed Commercial Invoice for 100% of the total cargo value indicating, quantity, unit price and the total Amount of Value of the delivered commodity , 1 original and 3 copies.

  B. Certificates of quantity, quality and weight issued byCCICand one independent surveyor appointed by the buyer.

  C. Certificate of Origin issued by ABC Department Of Trade or concerned Government authorities, I original and 2 copies.

  D. Weight List, showing total weight , 1 original and 3 copies.

  E. Bill of Lading, 3 original copies and 3 non-negotiable copies.

  Article 12 Force Majeure

  The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeureunder UCP 600. The seller shall advise the buyer immediately of the occurrence mentioned above and within 3 days thereafter the seller shall send a notice by courier to the buyer of their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the seller , however, are still under obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 60 days the buyer shall have the right to cancel the Contract.

  Article 13 Arbitration

  All disputes arising out of or in connection with this Contract shall be finally resolved by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (UCP-600/20xx or Uniform Customs and Practice for Documentary Credits) by one or more arbitrators appointed in accordance with the said rules. The arbitration shall be conducted in ABCbythe English language.

  (8) 品質(zhì)與數(shù)量,重量的異議與索賠: 貨到最終目的地后, 買方如發(fā)現(xiàn)貨物品質(zhì)及/貨數(shù)量/重量與合同規(guī)定不符,除屬于 保險(xiǎn)公司貨船公司的責(zé)任外,買方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣方提出異議,品質(zhì)異議須于貨 到最終目的地起60天內(nèi)提出,數(shù)量/重量異議須于貨到最終目的地起30天內(nèi)提出。

  Quality /Quantity/Weight Discrepancy and Claim: In case the quality and /or quantity/weight are found by the Buyer not to

  conform with the contract after arrival of the goods at the final destination, the Buyer may lodge a claim against the seller supported by a survey report issued by an inspection organization agreed upon by both parties with the exception of those claims for which the insurance company and /or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the Buyer within 60 days after arrival of the goods at the final destination while for quantity

  (10) 仲裁:凡執(zhí)行本合同或與合同有關(guān)事項(xiàng)所發(fā)生的一切爭執(zhí),應(yīng)由雙方通過友好方式協(xié)商解決。如果不能取得協(xié) 議時(shí),應(yīng)提交中國國際貿(mào)易促進(jìn)會(huì)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì),根據(jù)該仲裁委員會(huì)的仲裁程序暫行規(guī)定進(jìn)行仲 裁,仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)用除非仲裁另有決定外,均由敗訴一方承擔(dān)。

If no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by arbitration in accordance with the Commission’s Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties. The arbitration expenses shall be borne by the losing party unless otherwise award by the arbitration organization.

  買賣的標(biāo)的物雙方一定要明確約定買賣產(chǎn)品名稱、品牌、規(guī)格、型號(hào)、等級(jí),生產(chǎn)廠家,數(shù)量等詳細(xì)內(nèi)容,盡可能把產(chǎn)品的各項(xiàng)標(biāo)示都作為標(biāo)的內(nèi)容寫進(jìn)合同。

  如有樣品的,雙方應(yīng)封存樣品并可進(jìn)行公正。防止因產(chǎn)品約定不清,而就所提供合格與否產(chǎn)生糾紛。

  同時(shí),要求供貨方對(duì)產(chǎn)品的所有權(quán)及處分權(quán)作出保證或承諾,防止其產(chǎn)品上存在權(quán)利限制,如產(chǎn)品被出租、抵押、涉嫌侵犯他人的知識(shí)產(chǎn)權(quán)等影響到標(biāo)的物的交付。

  項(xiàng)目中擬采購的貨物、工程、服務(wù):就上述項(xiàng)目的采購,甲方委托乙方采取_____方式進(jìn)行采購,乙方同意接受委托,雙方達(dá)成協(xié)議如下:

  一、乙方按照《中華人民共和國政府采購法》、《中華人民共和國招標(biāo)投標(biāo)法》和《中華人民共和國民法典》等法律、法規(guī),依法進(jìn)行組織采購,為甲方做好服務(wù)工作。

  二、本協(xié)議簽訂后,即開始進(jìn)行本項(xiàng)目的采購工作,甲方主要負(fù)責(zé)以下工作:

  (一)協(xié)助乙方作好采購(招標(biāo))工作,提供項(xiàng)目相關(guān)資料,提出采購(招標(biāo))文件中供貨范圍、技術(shù)規(guī)格和特別商務(wù)要求;

  (二)參加評(píng)審(評(píng)標(biāo))委員會(huì)的工作,與其他評(píng)委一起共同完成評(píng)、定(標(biāo))工作;

  (三)按成交(中標(biāo))通知規(guī)定的時(shí)間和地點(diǎn),與成交(中標(biāo))供應(yīng)商簽訂供貨合同;

  (四)驗(yàn)收合格后,采購人按合同約定和政府采購資金管理的有關(guān)規(guī)定,向同級(jí)財(cái)政部門申請(qǐng)撥付應(yīng)當(dāng)支付給供應(yīng)商的價(jià)款或報(bào)酬。

  風(fēng)險(xiǎn)提示:驗(yàn)收標(biāo)準(zhǔn)驗(yàn)收標(biāo)準(zhǔn)約定不明時(shí),極易發(fā)生產(chǎn)品質(zhì)量糾紛。

  應(yīng)在驗(yàn)收條款中詳細(xì)列明貨物的驗(yàn)收標(biāo)準(zhǔn)、驗(yàn)收手續(xù)及過程,還可選擇約定驗(yàn)收結(jié)果的最終確認(rèn)權(quán)人。

  同時(shí)還應(yīng)詳細(xì)列明貨物不符合約定條件時(shí)的處理方式、及以處理過程的溝通與銜接。

  三、乙方主要負(fù)責(zé)以下工作:

  (一)組成專項(xiàng)工作小組,指定一位項(xiàng)目負(fù)責(zé)人,代表乙方聯(lián)系和處理采購(招標(biāo))過程中的有關(guān)事項(xiàng),接受和簽收甲方提供的技術(shù)、服務(wù)、商務(wù)等材料和要求。

  編制采購文件,請(qǐng)專家審查、采購人確認(rèn),并報(bào)送臨沂市財(cái)政局政府采購辦公室(以下簡稱采購辦)備案;

  (二)采購文件報(bào)送采購辦項(xiàng)目負(fù)責(zé)人備案后,按照規(guī)定程序,在政府采購信息指定發(fā)布媒體和網(wǎng)站(《中國財(cái)經(jīng)報(bào)》、《齊魯晚報(bào)》、中國政府采購網(wǎng)站、____省政府采購網(wǎng)站、______政府采購網(wǎng)站)上發(fā)布政府采購公告并發(fā)售采購文件;

  (三)按國家有關(guān)法律規(guī)定組成項(xiàng)目專家評(píng)審(評(píng)標(biāo))委員會(huì);

  (四)組織采購項(xiàng)目的評(píng)審(評(píng)標(biāo))和記錄工作;

  (五)按照評(píng)審委員會(huì)的評(píng)審結(jié)論編制評(píng)審(評(píng)標(biāo))報(bào)告、匯集采購和報(bào)價(jià)(招標(biāo))文件并按有關(guān)規(guī)定及時(shí)報(bào)送采購辦;

  (六)發(fā)出成交(中標(biāo))通知,組織甲方與成交(中標(biāo))供應(yīng)商簽訂供貨合同或協(xié)議,并在合同(協(xié)議)簽訂后七個(gè)工作日內(nèi)將合同副本報(bào)送采購辦備案。

  (七)根據(jù)《政府采購法》第四十一條“采購人或其委托的采購代理機(jī)構(gòu)應(yīng)當(dāng)組織對(duì)供應(yīng)商履約的驗(yàn)收。

  大型或者復(fù)雜的政府采購項(xiàng)目,應(yīng)當(dāng)邀請(qǐng)國家認(rèn)可的質(zhì)量檢測機(jī)構(gòu)參加驗(yàn)收工作”有關(guān)規(guī)定,采購人和采購代理機(jī)構(gòu)應(yīng)當(dāng)組織采購項(xiàng)目驗(yàn)收,并填制《______市政府采購項(xiàng)目驗(yàn)收?qǐng)?bào)告單》(一式四聯(lián))。

  (八)接受_____政府采購監(jiān)督管理部門的監(jiān)督。

  采購單一貨物,價(jià)格固定,價(jià)款比較清楚,一般不會(huì)產(chǎn)生爭議。

  如果采購多種貨物或進(jìn)行長時(shí)間的貨物買賣,價(jià)款較為復(fù)雜,一旦約定不明,則極易產(chǎn)生爭議。

  因此,合同中應(yīng)明確產(chǎn)品單價(jià)、計(jì)量標(biāo)準(zhǔn)、數(shù)量、產(chǎn)品附件等,對(duì)于涉外合同,還應(yīng)當(dāng)明確貨幣種類及外匯結(jié)算標(biāo)準(zhǔn),防止出現(xiàn)分歧。

  另外,支付方式也應(yīng)當(dāng)約定明確,價(jià)款支付是現(xiàn)金支付,還是用支票支付;如果采用匯款,匯費(fèi)由誰負(fù)擔(dān)等細(xì)節(jié)應(yīng)當(dāng)明確。
