第一條、甲乙合伙人本著公平、平等、互利的原則投資舉辦經(jīng)營(yíng)店鋪，就有關(guān)醫(yī)藥類合作事宜協(xié)商達(dá)成一致，特訂立本合伙協(xié)議如下：
甲乙雙方合伙經(jīng)營(yíng)藥品零售店，店名為福清市宏路百信藥店。總投資為人民幣_(tái)_______元整，甲出資________ 元，乙出資________元，甲方占投資總額的________%，乙方占投資總額的________%。按照各自的投資比例享有權(quán)利和承擔(dān)責(zé)任(包括利潤(rùn)分成和虧損金額的承擔(dān))。(包括但不限于：房租、裝修費(fèi)、貨款、雇員費(fèi)用等)，詳細(xì)投資明細(xì)及所購(gòu)固定及非固定資產(chǎn)明細(xì)見(jiàn)協(xié)議附件。如該投資金額不夠，可追加投資。
第二條 、合伙雙方共同經(jīng)營(yíng)、共同勞動(dòng)，共擔(dān)風(fēng)險(xiǎn)，共負(fù)盈虧。
1、經(jīng)營(yíng)核算：由雙方協(xié)商選聘財(cái)務(wù)人員按月進(jìn)行經(jīng)營(yíng)核算，公開(kāi)賬目并出具財(cái)務(wù)核算報(bào)表，雙方簽字認(rèn)可并留存。
2、 企業(yè)盈余：按照各自的投資比例對(duì)每個(gè)月經(jīng)營(yíng)所獲得的純利潤(rùn)結(jié)算后，再投入作流動(dòng)資金。待年底總結(jié)算后進(jìn)行分紅。
3、純利潤(rùn)：每月盈利(總業(yè)績(jī))扣除所有應(yīng)支出后，再扣除行政管理費(fèi)，作為是為當(dāng)月純利潤(rùn)。
4、成本承擔(dān)：在經(jīng)營(yíng)過(guò)程中所發(fā)生的一切相關(guān)費(fèi)用，雙方各按股份所占比例承擔(dān)(如：包含但不限于雇員費(fèi)用、水、電費(fèi)、暖氣費(fèi)、營(yíng)業(yè)稅等)。
5、企業(yè)債務(wù)：按照各自投資比例負(fù)擔(dān)。如投資額不抵虧損金額，其他投資人擁有追回其應(yīng)承擔(dān)金額的權(quán)利。任何一方對(duì)外償還債務(wù)后，另一方應(yīng)當(dāng)按比例在十日內(nèi)向?qū)Ψ角鍍斪约贺?fù)擔(dān)的部分。
第三條、合伙的終止及終止后的事項(xiàng)
(一)出現(xiàn)下列事項(xiàng)之一 ，合伙終止：
1、合伙期滿;
2、合伙雙方協(xié)商同意;
3、 其他法律規(guī)定的情況;
(二)合伙終止后的事項(xiàng)
1、合作終止時(shí)，以終止時(shí)的財(cái)產(chǎn)狀況進(jìn)行清算，不論以何種方式出資，均以金錢(qián)結(jié)算。
2、合作終止時(shí)，即行推舉清算人，并邀請(qǐng)一中間人(或公證員)參與清算。清算后如有盈余，則按收取債權(quán)，清償債務(wù)，返還出資，按比例分配剩余財(cái)產(chǎn)的順序進(jìn)行。固定資產(chǎn)和不可分物，可作價(jià)賣(mài)給合伙人或第三人，其價(jià)款參與分配。清算后如有虧損，不論合伙人出資多少，先以合伙共同財(cái)產(chǎn)償還，合伙財(cái)產(chǎn)不足清償?shù)牟糠钟珊匣锶税闯鲑Y比例承擔(dān)。(清算時(shí)，墻面、地面、屋頂?shù)雀街豢刹鹦兜牡牟糠植挥枳鲀r(jià)，不參與分配)

七、盈利分配及虧損負(fù)擔(dān)
1、利潤(rùn)分配：甲、乙雙方在扣除成本和合理開(kāi)支并留足下月流動(dòng)資金后，按照投資比例對(duì)當(dāng)月所獲得的利潤(rùn)進(jìn)行分配。
2、虧損負(fù)擔(dān)：甲、乙雙方承認(rèn)在合同簽訂前因裝修酒店所產(chǎn)生的個(gè)人債務(wù)由各人承擔(dān)，酒店開(kāi)業(yè)后因經(jīng)營(yíng)不善所產(chǎn)生的虧損由雙方按照投資比例在當(dāng)月進(jìn)行彌補(bǔ)和分擔(dān)。
八、合伙期限：自合同簽定之日起1年。
九、退出合伙的條件：經(jīng)對(duì)方同意協(xié)商一致或者因不可抗力一方不能承擔(dān)合伙義務(wù)。
十、合伙期滿后的財(cái)產(chǎn)處理：如雙方仍同意繼續(xù)合伙經(jīng)營(yíng)再另行簽訂合伙協(xié)議;如一方不同意繼續(xù)經(jīng)營(yíng)，應(yīng)當(dāng)在十日內(nèi)對(duì)酒店價(jià)值進(jìn)行評(píng)估，并按照合伙期滿時(shí)酒店評(píng)估價(jià)格值的一半在評(píng)估后十日內(nèi)支付給對(duì)方;如雙方均不同意繼續(xù)經(jīng)營(yíng)可以按照酒店轉(zhuǎn)讓價(jià)格進(jìn)行平均分配。轉(zhuǎn)讓不成時(shí)造成損失按照各自的出資比例承擔(dān)。
十一、違約責(zé)任
1、構(gòu)成違約的行為：違反以上條款中規(guī)定的各項(xiàng)義務(wù)的行為均視為違約。
2、違約金的`計(jì)算方法：違反投資約定不能按期投資，造成酒店不能正常經(jīng)營(yíng)的，應(yīng)當(dāng)承擔(dān)應(yīng)投資余額5%的違約金。
3、賠償金的計(jì)算方法：違反合同約定的各項(xiàng)義務(wù)造成協(xié)議無(wú)法履行時(shí)，應(yīng)當(dāng)賠償對(duì)方全部投資款。
4、免責(zé)條件：不可抗力造成飯店無(wú)法繼續(xù)經(jīng)營(yíng)。
十二、爭(zhēng)議的解決方式：雙方均同意凡因本協(xié)議條款發(fā)生糾紛提交德清縣仲裁委員會(huì)裁決。
