第七條免責(zé)條款
由于不可抗力或意外事件而影響乙方正常的服務(wù)和技術(shù)支持時(shí)，不視作乙方違約，甲方對(duì)此表示認(rèn)同。“不可抗力”是指不能預(yù)見、不能克服且無法避免的客觀事件，如戰(zhàn)爭、自然災(zāi)害、政府禁令等。“意外事件”指諸如中國電信等骨干網(wǎng)光纜出現(xiàn)故障的影響而損壞，通信線路或服務(wù)器發(fā)生超出乙方防范與預(yù)見能力的故障等類似事件。
第八條爭議解決
8-1甲乙雙方在發(fā)生爭端而友好協(xié)商不能解決時(shí)，應(yīng)依法向__市仲裁委員會(huì)提起仲裁。

貨物應(yīng)具有防潮、防銹蝕、防震并適合于遠(yuǎn)洋運(yùn)輸?shù)陌b，由于貨物包裝不良而造成的貨物殘損、滅失應(yīng)由賣方負(fù)責(zé)。賣方應(yīng)在每個(gè)包裝箱上用不褪色的顏色標(biāo)明尺碼、包裝箱號(hào)碼、毛重、凈重及“此端向上”、“防潮”、“小心輕放”等標(biāo)記。
The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement, gross weight, net weight and the cautions such as "Do not stack up side down", "Keep away from moisture", "Handle with care" shall be stenciled on the surface of each package with fadeless pigment.

13. 付款條件（Terms of Payment）：

Documents against payment: After shipment, the Seller shall draw a sight bill of exchange on the Buyer and deliver the documents through Sellers bank and ______ Bank to the Buyer against payment, i.e D/P. Full set of clean on board Ocean/Combined Transportation/Land Bills of Lading and blank endorsed marked freight prepaid/ to collect;
(2) 標(biāo)有合同編號(hào)、信用證號(hào)（信用證支付條件下）及裝運(yùn)嘜頭的商業(yè)發(fā)票一式＿＿份； Signed commercial invoice in ______copies indicating Contract No., L/C No. (Terms of L/C) and shipping marks;
(3) 由＿＿＿＿＿＿出具的裝箱或重量單一式＿＿份；

15. 裝運(yùn)條款（Terms of Shipment）：
(1) FOB交貨方式
賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以＿＿＿＿方式通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物越過船弦并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

16. 裝運(yùn)通知（Shipping Advice）：

17. 質(zhì)量保證（Quality Guarantee）：
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港＿＿個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。 The Seller shall guarantee that the commodity must be in conformity with the quatity,

18. 檢驗(yàn)（Inspection） （以下兩項(xiàng)任選一項(xiàng)）：

(2) 發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書，并說明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買方將申請(qǐng)中國商品檢驗(yàn)局(以下簡稱商檢局)對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買方得在貨物到達(dá)目的港后＿＿日內(nèi)憑商檢局出具的檢驗(yàn)證書向賣方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買方將委托中國商檢局進(jìn)行檢驗(yàn)。
The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within _____ days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.
19. 索賠（Claim）：
買方憑其委托的檢驗(yàn)機(jī)構(gòu)出具的`檢驗(yàn)證明書向賣方提出索賠（包括換貨），由此引起的全部費(fèi)用應(yīng)由賣方負(fù)擔(dān)。若賣方收到上述索賠后______天未予答復(fù)，則認(rèn)為賣方已接受買方索賠。
The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within ______days after the Seller received the Buyer's claim.
20. 遲交貨與罰款（Late delivery and Penalty）:
除合同第21條不可抗力原因外，如賣方不能按合同規(guī)定的時(shí)間交貨，買方應(yīng)同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每＿＿天收＿＿%，不足＿＿天時(shí)以＿＿天計(jì)算。但罰款不得超過遲交貨物總價(jià)的____%。如賣方延期交貨超過合同規(guī)定＿＿天時(shí)，買方有權(quán)撤銷合同，此時(shí)，賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。
買方有權(quán)對(duì)因此遭受的其它損失向賣方提出索賠。
Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. But the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery ______ days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.
The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
21. 不可抗力（Force Majeure）：
凡在制造或裝船運(yùn)輸過程中，因不可抗力致使賣方不能或推遲交貨時(shí)，賣方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣方應(yīng)立即通知買方，并在＿＿天內(nèi)，給買方特快專遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書。在此情況下，賣方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)＿＿天以上，買方有權(quán)撤銷合同。
The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_____ days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. 22. 爭議的解決 (Arbitration):
凡因本合同引起的或與本合同有關(guān)的任何爭議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。
Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
23. 通知（Notices):

第一條、雙方關(guān)系：

2.同意乙方在進(jìn)行業(yè)務(wù)推廣時(shí)向客戶介紹甲方的網(wǎng)站，并表明其獨(dú)家經(jīng)銷的身份。
3.在協(xié)議的有效期限內(nèi)：甲方如獲得專利產(chǎn)品的注冊(cè)、或商標(biāo)、或其他商業(yè)標(biāo)志，均須立即向乙方提供。
4.甲方必須將希望與其建立商業(yè)關(guān)系的境內(nèi)新客戶轉(zhuǎn)給乙方。
5.不斷提供有助于推銷產(chǎn)品的意見和資料。
第八條、經(jīng)銷商責(zé)任
1.自費(fèi)維持一個(gè)有經(jīng)營能力的機(jī)構(gòu)，切實(shí)地為甲方推銷產(chǎn)品。
2.自費(fèi)參加一些交易會(huì)或制作為了推銷甲方產(chǎn)品的網(wǎng)站、目錄等廣告物。
3.在本協(xié)議的有效時(shí)限內(nèi)，第一年的每個(gè)月的交易額必須達(dá)到萬美元，以后每年遞增20％
4.向甲方提供一個(gè)由甲方認(rèn)可的銀行為結(jié)算銀行。
5.不得購買和銷售其他公司的同類產(chǎn)品
6.不斷地向甲方提供國內(nèi)相關(guān)的商業(yè)情報(bào)
第九條、有效時(shí)限
本協(xié)議自_____生效，有效期為___年。
期滿前三個(gè)月內(nèi)，雙方如未能在續(xù)簽本協(xié)議上達(dá)成一致，則本協(xié)議在期滿時(shí)自動(dòng)失效，雙方再不受其約束。
第十條、違約
本協(xié)議的任何一方發(fā)生了違約行為，另一方得以書面的形式通知其糾正。如若違約一方在三個(gè)月內(nèi)仍未糾正其違約行為，則另一方有權(quán)中 止本協(xié)議。
第十一條、一般條款
1.不可抗力：
本協(xié)議的任何一方如遭遇到所力不能及的事由，以致全部或部份無法履行本協(xié)議，則可在下列范圍內(nèi)免除其責(zé)任。如：火災(zāi)、水災(zāi)、海嘯、地震、雷擊、臺(tái)風(fēng)、旋風(fēng)、疫病、爆炸、機(jī)械事故、戰(zhàn)爭、暴亂、制裁、勞工糾紛或政府的政策性行為，或其它的確實(shí)非人力所能抗拒的原因。
但一方必須將得到政府或有關(guān)機(jī)構(gòu)證明的不可抗力原因的書面通知，以最快的速度送達(dá)另一方并直到另一方確認(rèn)收到該通知時(shí)為止。
2.轉(zhuǎn)讓：
本協(xié)議在任何一方在未征得另一方以書面的方式明確表示同意之前，任何涉及本協(xié)議所規(guī)定的權(quán)利和義務(wù)的轉(zhuǎn)讓均屬無效。
3.商業(yè)機(jī)密
本協(xié)議的任何一方均不得在有效期內(nèi)及期滿的一年內(nèi)向第三者泄漏雙方之間的商業(yè)秘密，若由此而造成另一方的利益損失，則另一方有追索泄漏商業(yè)秘密一方的經(jīng)濟(jì)責(zé)任的權(quán)利。
4.仲裁
凡因本協(xié)議或其相關(guān)的事情而導(dǎo)致爭執(zhí)時(shí)，雙方應(yīng)當(dāng)友好協(xié)商解決，解決不成，應(yīng)提請(qǐng)中國貿(mào)易促進(jìn)委員會(huì)進(jìn)行仲裁，該仲裁是終局的，雙方由于進(jìn)行仲裁而發(fā)生的合理費(fèi)用均由敗訴方負(fù)擔(dān)。
5.協(xié)議文本
本協(xié)議以英文和中文兩種文字書就，如若兩種文字在字義上產(chǎn)生抵觸時(shí)，必須按照兩種文字的意義做出折中判斷。
本協(xié)議一式份，雙方各執(zhí)一份。
本協(xié)議經(jīng)雙方簽字后將于所約定的時(shí)間生效。
