　　甲乙雙方本著自愿平等、公平合理的原則，經(jīng)友好協(xié)商，就甲方委托乙方辦理進(jìn)出口貨物報(bào)關(guān)事宜，雙方一致同意訂立以下合同條款，以供雙方共同遵照執(zhí)行：

　　一、甲方委托乙方辦理的進(jìn)出口貨物的具體明細(xì)，由甲方另以書面的方式提供給乙方，并應(yīng)在貨物裝船前_________日、裝飛機(jī)前_________日、船舶抵港前_________日或飛機(jī)抵港前_________日前將以下材料或信息提供給乙方：

　　2.發(fā)票；

　　3.裝箱單；

　　7.貿(mào)易性質(zhì)；

　　8.手冊，批件，如進(jìn)出口許可證，配額證，免稅表，證明等；

　　9.報(bào)關(guān)要求及注意事項(xiàng)；

　　10.報(bào)關(guān)所需的其他資料。

　　二、乙方作為甲方的報(bào)關(guān)代理人，應(yīng)在甲方的授權(quán)范圍內(nèi)進(jìn)行活動(dòng)，認(rèn)真履行職責(zé)，維護(hù)甲方的合法權(quán)益。乙方在代理權(quán)限內(nèi)的任何責(zé)任和費(fèi)用都應(yīng)由甲方承擔(dān)。乙方只對因自身的過失與疏忽給甲方造成的直接損失負(fù)有責(zé)任。

　　三、甲方需要變更有關(guān)報(bào)關(guān)等事項(xiàng)的，應(yīng)在報(bào)關(guān)前提出，并應(yīng)出具書面的變更通知書。報(bào)關(guān)后有正當(dāng)理由需要更改的，甲方應(yīng)書面委托乙方協(xié)助辦理。由于變更引起的一切費(fèi)用和后果由甲方承擔(dān)。

　　四、甲方必須保證報(bào)關(guān)貨物不屬于國家禁止或者限制進(jìn)出境的物品。否則，甲方應(yīng)對由此產(chǎn)生的一切后果承擔(dān)責(zé)任和費(fèi)用，并對由此給乙方造成的損失負(fù)賠償責(zé)任。

　　五、甲方應(yīng)保證申報(bào)的內(nèi)容均真實(shí)、準(zhǔn)確、無欺詐，且與報(bào)關(guān)單上的內(nèi)容一致。如委托的內(nèi)容與報(bào)關(guān)單有出入，以報(bào)關(guān)單為準(zhǔn)，甲方應(yīng)承擔(dān)由于委托內(nèi)容與報(bào)關(guān)單不一致而產(chǎn)生的一切責(zé)任，并對由此給乙方造成的損失負(fù)賠償責(zé)任。

　　六、甲方有權(quán)對乙方的報(bào)關(guān)行為進(jìn)行監(jiān)督，有權(quán)要求乙方對于報(bào)關(guān)進(jìn)展情況及時(shí)匯報(bào)。乙方應(yīng)及時(shí)向甲方報(bào)告貨物的報(bào)關(guān)、報(bào)檢及報(bào)驗(yàn)等信息。

　　七、對于進(jìn)口貨物，甲方是進(jìn)口貨物的海關(guān)關(guān)稅、海關(guān)監(jiān)管手續(xù)費(fèi).代征增值稅的義務(wù)繳納人。如甲方書面委托乙方代付，甲方應(yīng)在乙方報(bào)關(guān)前根據(jù)乙方估算的數(shù)額將上述款項(xiàng)匯至乙方賬戶，以便乙方代甲方在納稅期限內(nèi)向海關(guān)繳納。否則，乙方無義務(wù)為甲方墊付前述費(fèi)用。

　　八、甲方如對海關(guān)開征的稅額款有異議，應(yīng)按《海關(guān)法》的規(guī)定辦理，先繳納后申請減免，手續(xù)費(fèi)自負(fù)。乙方應(yīng)積極協(xié)助甲方辦理退稅手續(xù)，手續(xù)費(fèi)由甲方承擔(dān)。

　　九、乙方應(yīng)收取的具體每票業(yè)務(wù)的報(bào)關(guān)、報(bào)檢和報(bào)驗(yàn)等費(fèi)用標(biāo)準(zhǔn)和結(jié)算方式，詳見《報(bào)價(jià)及結(jié)算單》，《報(bào)價(jià)及結(jié)算單》為本合同的附件，是本合同不可分割的一部分�！秷�(bào)價(jià)及結(jié)算單》中的內(nèi)容甲、乙雙方可根據(jù)情況進(jìn)行變更，變更經(jīng)雙方書面確認(rèn)后方可生效。變更生效前所發(fā)生的業(yè)務(wù)，仍按原《報(bào)價(jià)及結(jié)算單》的標(biāo)準(zhǔn)執(zhí)行。若單票業(yè)務(wù)的委托書中的費(fèi)用標(biāo)準(zhǔn)與《報(bào)價(jià)及結(jié)算單》不一致的，按該票委托書中的標(biāo)準(zhǔn)處理本票業(yè)務(wù)。對于《報(bào)價(jià)及結(jié)算單》和委托書中均沒有約定的乙方應(yīng)收費(fèi)項(xiàng)目，雙方另行協(xié)商處理。

　　十、甲方應(yīng)按合同的約定履行付款義務(wù)，每逾期一天，應(yīng)向乙方支付未付部分萬分之五的違約金。若甲方指定第三方付款的，如第三方拒付、少付、延期付款的，甲方仍有付款義務(wù)并承擔(dān)違約責(zé)任。

　　十一、對于甲方委托乙方代付海關(guān)關(guān)稅、海關(guān)監(jiān)管手續(xù)費(fèi)、代征增值稅的業(yè)務(wù)，甲方應(yīng)在乙方指定的期限內(nèi)將該稅費(fèi)付至乙方指定的賬戶，最后據(jù)實(shí)結(jié)算，多退少補(bǔ)。其他費(fèi)用如報(bào)關(guān)滯報(bào)金、船公司、航空公司及貨代調(diào)單費(fèi)等按實(shí)際發(fā)生額收取，甲、乙雙方另行結(jié)算。

　　十二、在甲方未按照合同約定支付乙方費(fèi)用時(shí)，乙方有權(quán)滯留相應(yīng)的運(yùn)輸單據(jù)或貨物，由此產(chǎn)生的所有損失和責(zé)任由甲方承擔(dān)。

　　十三、由于海關(guān)、衛(wèi)生檢疫、動(dòng)植檢部門的審核、查驗(yàn)等原因造成乙方報(bào)關(guān)、報(bào)檢、報(bào)驗(yàn)等延誤的，所產(chǎn)生的疏港費(fèi)、集裝箱超期使用費(fèi)及其他額外費(fèi)用均由甲方承擔(dān)，與乙方無關(guān)。

　　十四、由于海關(guān)的原因致使貨物被扣押或者報(bào)關(guān)滯后的，乙方應(yīng)積極協(xié)助甲方同海關(guān)進(jìn)行交涉，由此產(chǎn)生的損失和費(fèi)用由甲方承擔(dān)。

　　十五、如因甲乙雙方的過失致使合同不能履行，給雙方造成了實(shí)際損失，應(yīng)根據(jù)實(shí)際情況，由雙方分別承擔(dān)各自的責(zé)任。

　　十六、由于地震、臺風(fēng)、水災(zāi)、戰(zhàn)爭、政府政策的改變以及其他不能預(yù)見并且對其發(fā)生和后果不能防止或者避免的不可抗力事故，致使貨物被扣、不能報(bào)關(guān)或者報(bào)關(guān)滯后，遇有上述不可抗力事故的一方應(yīng)立即將事故情況通知對方，并應(yīng)在日內(nèi)，提供事故詳情及合同不能履行的有效證明文件。按照事故對履行合同影響的程度，由雙方協(xié)商決定是否解除合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。

　　十七、本合同項(xiàng)下發(fā)生的任何糾紛或者爭議，雙方首先就友好協(xié)商解決。協(xié)商不成的，提交上海仲裁委員會(huì)根據(jù)該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。

　　十八、本合同的訂立、效力、解釋、履行、爭議的解決均適用中華人民共和國法律。

　　十九、本合同經(jīng)甲.乙雙方簽字蓋章之日起生效，合同有效期為一年。本合同期滿之日前，甲、乙雙方如無異議，則自動(dòng)延長一年。任何一方均可在期滿前提出終止合同，但應(yīng)以書面方式通知另一方。

　　二十、經(jīng)甲、乙雙方協(xié)商一致，可對本合同進(jìn)行修改和補(bǔ)充，修改及補(bǔ)充的內(nèi)容經(jīng)雙方簽字蓋章后作為本合同的組成部分。

　　should the seller fail to make delivery on time, the buyer shall agree topostpone the delivery on the conditon that the seller agrees of pay a penaltywhich shall be deducted by the paying bank at the time of payment. the rate ofpenalty is charged at 0.5% of the total value of the cargo whose delivery hasbeen delayed for every week, odddays less than a week should be counted as aweek. but the total amount of penalty shall not exceed 5% of the total value ofthe cargo involved in the late delivery. in case the seller fail ot makedelivery 10 weeks later than the time of shipment stipulated on the contract,the buyer shall havbe the right to cancel the contract a nd the seller shallstill pay the aforesaid penalty to the buer without delay.
