　　依據(jù)《中華人民共和國民法典》規(guī)定，本著誠實信用、平等互利的原則，甲乙雙方就甲方資料翻譯服務一事，達成協(xié)議如下:

　　第一條：翻譯內(nèi)容

　　乙方將甲方提供的 文件中的 英文 翻譯為 中文 ;具體文件以甲方給乙方的紙質(zhì)文件或者電子版文件為準。

　　乙方應保證翻譯人員的專業(yè)性和翻譯稿件的準確性，認真做好翻譯校對工作;

　　乙方按照甲方的文件格式進行排版，最終翻譯稿以電子文件的方式提供給甲方。

　　乙方應保證其翻譯稿件質(zhì)量：忠實原文、譯文準確。

　　第二條：翻譯期限及費用

　　計價方式：按照翻譯完成的中文(字符數(shù)不計空格)進行計價。

　　本次翻譯單價為 ，翻譯費總金額為： 元整。

　　翻譯文件的交稿期限為： 年 月 日 。

　　甲方在簽訂合同當日支付翻譯預付款 元。

　　交稿時付清其余所有款項即 元。甲方向乙方開具正式發(fā)票。

　　第三條：責任條款

　　如因甲方原因推遲提供給乙方翻譯稿件或翻譯的相關資料時間，受到的損失甲方承擔。

　　甲方如對乙方譯稿有異議，甲方有權在取稿之日起30日內(nèi)，向乙方提出書面修改意見，乙方應按甲方要求在規(guī)定的時間內(nèi)免費進行修改，直至甲方滿意為止。

　　如乙方在翻譯質(zhì)量和完成工期方面不符合合同要求，甲方有權中止合同并視為乙方違約，乙方應退還甲方預付款，另外賠償甲方預付款的 作為違約金。

　　在乙方無違約的狀況下，甲方應按約定及時付款，否則乙方有權要求甲方支付延遲付款天數(shù)乘以翻譯費用總額 作為賠償;翻譯進行過程中，如甲方提出中止翻譯，預付金不予退回并按照已翻譯文件比例支付相應翻譯費。

　　第四條：其他條款

　　乙方應考慮甲方翻譯內(nèi)容的保密性。另簽署的保密協(xié)議作為本協(xié)議的一部分，具有法律效力。

　　本協(xié)議未盡之事，雙方協(xié)商解決;

　　本協(xié)議一式二份，傳真件有效，甲乙雙方各執(zhí)一份，自雙方蓋章之日起一年內(nèi)有效。

　　TRANSLATION SERVICES AGREEMENT

　　Client wishes to engage Company to perform certain translation services upon the terms and conditions of this Agreement. In consideration of this and the following mutual promises and covenants, and for other good and valuable consideration, the parties agree as follows:

　　1. Client wishes Company to perform and Company agrees to perform the Translation Services described in Exhibit A. All work performed by the Company shall be in accordance with industry standards.

　　2. Client shall pay Company for the Translation Services provided to Client in accordance with the pricing and the terms set forth in Exhibit A. In addition to these fees, Client shall reimburse Company for necessary out-of-pocket expenses incurred by Company that are not a normal part of routine translation procedures, such as overnight delivery requested by Client, long distance telephone and facsimile expenses to clarify document ambiguity, non-text document formatting, indexing of documents, bates and/or control numbering, large–scale photocopying, etc.

　　3. The parties acknowledge that due to inherent differences in language, words, terms and phrases specific to a culture, region, and/or country, it is not always possible to translate exactly from one language to another. Accordingly, while Company will make every effort to ensure an accurate translation, it makes no warranties, express or implied, with respect to the Translation Services.

　　4. In no event shall Company be liable to Client for any indirect, special or consequential damages or lost profits arising out of or related to this Translation Services Agreement or performance or breach hereof, even if Company has been advised of the possibility thereof. Company’s liability to Client under this Agreement, if any, shall not exceed the total of the fees paid to Company hereunder. Nothing in this Agreement will limit or exclude any liability for fraudulent misrepresentation.

　　5. This Agreement shall continue in full force and effect until terminated by either party. This Agreement may not be assigned by either party without the consent of the other. Any waiver by either party of a breach of any provision of this Agreement shall not operate, or be construed, as a waiver of any subsequent breach. No change, modification or waiver of any term

　　of this Agreement shall be valid unless it is in writing signed by both and Client. This agreement constitutes the entire Agreement between the parties with respect to the subject matter contained herein and supersedes all prior agreements of understanding between the parties. This Agreement shall be governed by the laws of the State of New York and Client agrees to submit to the exclusive jurisdiction of the Courts of the State of New York.

　　甲乙雙方本著友好協(xié)商、共同發(fā)展的原則簽訂本翻譯服務合同，其條款如下：

　　Both parties of Party A and Party B have signed the Translation Service Contract based on the principle of friendly cooperation and mutual development* The articles are as follows:

　　一、甲方委托乙方為其提供翻譯服務，及時向乙方提交清晰、易于辨認的待譯資料，提出明確要求，并對乙方的翻譯質(zhì)量進行監(jiān)督。

　　1.Party A entrusts Party B with the translation service. Party A shall provide legible documents in time and give clear requirements and control the translation quality of Party B.

　　二、乙方按時完成翻譯任務(如發(fā)生不可抗力的因素除外)，向甲方提供已翻譯好的打印件及電子文件各一份。具體交稿日期由雙方商定。對于加急稿件，交稿期限由雙方臨時商議。

　　2. Party B shall complete the translation work in time and deliver the translation by printed hard copy and a relevant disk within the agreed date (with the exception of the delay caused by Force Majeure). Details about the delivery time will be discussed between the two parties. For the urgent request, the delivery time will be discussed accordingly between the two parties.

　　三、乙方對甲方提供的任何資料必須嚴格保密，不得透露給第三方。

　　3.Party B shall keep confidentiality of any documents provided by Party A and can not disclose to the third party.

　　四、翻譯工作量統(tǒng)計：電子譯稿：按電腦統(tǒng)計的中文版字符數(shù)計算（中文版Word20__ 中 “不計空格的字符數(shù)”）; 打印譯稿：按中文原稿行數(shù)×列數(shù)統(tǒng)計計算（行×列）。

　　4.Calculation of the load of translation: For electronic documents, the translation load shall be based on the statistics of the computer (Chinese Version Word20__ “Chinese characters not including blank spaces ”). For printed documents, the translation load shall be calculated according to lines of Chinese characters (the original printed copy), i.e. lines × rows.

　　五、乙方按優(yōu)惠價格向甲方收取翻譯費用：英*漢為 元/千字符（十萬字以上）。

　　5.Party B will charge the translation project from Party A with favorable price: For English–Chinese RMB / 1000 Chinese characters and marks（More than 100000 Chinese characters and marks）.

　　六、乙方可以在翻譯開始前為甲方預估翻譯費，甲方付款時則按實際發(fā)生的工作量支付給乙方翻譯費用（工作量統(tǒng)計方法見本合同第四條）。以下為乙方的賬戶信息：
